Welcome to It's My Leche. Throughout these Terms, "we," "us," and "our" refer to It's My Leche, Inc. We operate this website and online store (itsmyleche.com), along with all associated information, content, features, tools, products, and services (collectively, the "Services"). Our store is powered by Shopify, which enables us to deliver the Services to you.

These Terms of Service ("Terms"), together with all policies referenced herein — including our Privacy Policy, Shipping Policy, Refund Policy, Subscription Policy, and Donor Platform Terms — govern your access to and use of the Services. Please read these Terms carefully. They contain important information about your legal rights, including warranty disclaimers and limitations of liability.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not access or use our Services.

Section 1 — Access and Account

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence, and that you have authorized any minor dependents to use the Services on devices you own, purchase, or manage.

To use certain features of the Services — including making purchases, accessing the Insider Rewards Program, or submitting a Donor application — you may be required to create an account and provide accurate information including your name, email, billing and shipping address, and payment details. You represent and warrant that all information you provide is accurate, current, and complete.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You may not transfer, sell, assign, or license your account to another person. Notify us immediately at support@itsmyleche.com if you suspect unauthorized use of your account.

Section 2 — Our Products and Services

It's My Leche, Inc. offers the following products and services, each subject to these Terms:

2a. Consumer Products

We sell powdered donor breast milk sachets (human milk, lyophilized), breast milk storage accessories (Barrier Bags, Storage Bags), and gift products. All products are manufactured or sourced in accordance with our quality and safety standards described on our website and product pages. Product descriptions and images are for informational purposes and may not perfectly reflect every individual product.

2b. Freeze-Drying Services

We offer personalized freeze-drying services ("Leche Everyday" and "Leche Premier") that allow customers to send their own expressed breast milk to our facility for processing into shelf-stable powder. By submitting milk for this service, you represent that the milk belongs to you, was expressed under sanitary conditions, and was properly stored per CDC guidelines prior to shipment. Specific service terms, timelines, and handling procedures are detailed at the time of purchase.

We reserve the right to decline service for milk that does not meet our intake standards. In such cases, we will notify you and arrange return or disposal of the milk at your direction.

2c. Milkdrop Donor Platform

The Milkdrop by Leche program ("Milkdrop") connects compensated breast milk donors with our processing facility. Donors apply through our secure portal at donor.itsmyleche.com and undergo a health screening process. The Milkdrop platform handles health data in accordance with HIPAA regulations. 2d. Insider Rewards Program

The Leche Insider Rewards Program ("Insider Program") allows customers to earn and redeem points on qualifying purchases and activities. Points have no cash value, are non-transferable, and may expire or be modified at our discretion. Full Insider Program terms are available on the Insider page at itsmyleche.com/pages/insider.

2e. Website and General Services

We also provide educational resources, a blog, FAQs, and other informational content through the website. This content is provided for general informational purposes only and does not constitute medical, nutritional, or professional advice. Always consult your pediatrician or a qualified healthcare provider before making decisions about infant feeding.

Section 3 — Orders

Placing an order constitutes an offer to purchase. It's My Leche, Inc. reserves the right to accept or decline any order at its sole discretion. Your order is not considered accepted until we confirm acceptance and process your payment. Please review orders carefully before submitting, as we may be unable to accommodate cancellation requests once processing has begun.

If we decline, modify, or cancel an order, we will attempt to notify you using the contact information provided at the time of purchase. Purchases are subject to our Refund Policy.

You represent and warrant that your purchases are for personal or household use and not for commercial resale, export, or redistribution.

Section 4 — Prices and Billing

Prices, discounts, and promotions are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed and confirmed in your order confirmation email. Unless otherwise stated, prices do not include applicable taxes, shipping, handling, or customs charges.

You agree to provide current, complete, and accurate payment information. You represent and warrant that: (i) your payment information is true, correct, and complete; (ii) you are authorized to use the payment method provided; (iii) charges will be honored by your card issuer or payment provider; and (iv) you will pay all charges at posted prices, including applicable taxes and shipping fees.

HSA/FSA eligibility for eligible products is facilitated through our partner TrueMed. Eligibility determinations are made by TrueMed and your benefits administrator; It's My Leche, Inc. makes no guarantees regarding HSA/FSA reimbursability for individual purchases.

Section 5 — Shipping and Delivery

All products ship from our facility in Gilbert, Arizona. Delivery times are estimates and are not guaranteed. We are not liable for shipping or delivery delays caused by carriers, weather events, or other circumstances outside our control. Once products are transferred to the carrier, title and risk of loss pass to you.

For inbound freeze-dry service shipments (customers sending milk to us), you are responsible for proper packaging and compliance with shipping requirements. We are not liable for milk that arrives in unsatisfactory condition due to improper customer packaging or carrier mishandling.

Section 6 — Subscriptions

Certain products are available through a recurring subscription, powered by Recharge Payments. By enrolling in a subscription, you authorize It's My Leche, Inc. and Recharge to charge your payment method on the recurring schedule selected at checkout. Subscriptions automatically renew unless cancelled before the next billing date.

You may manage, pause, or cancel your subscription through the customer portal link provided in your subscription confirmation email, or by contacting us at support@itsmyleche.com. Cancellations must be made at least 24 hours before your next billing date to avoid being charged for the next cycle.

We reserve the right to modify subscription pricing with advance notice. Continued subscription after notice of a price change constitutes acceptance of the new pricing. See our full Subscription Policy for complete details.

Section 7 — Intellectual Property

Our Services — including all trademarks, branding, text, displays, images, graphics, video, audio, and the overall design and arrangement — are owned by It's My Leche or its licensors and are protected by U.S. and international intellectual property laws.

These Terms permit you to use the Services for personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any material from the Services without our prior written consent.

It's My Leche's names, logos, product names, designs, and slogans are trademarks of It's My Leche, Inc. You may not use these marks without our prior written permission. All rights not expressly granted are reserved.

Section 8 — Optional Tools and Third-Party Links

You may be provided access to third-party tools or linked to third-party websites as part of the Services. We do not monitor, control, or endorse third-party tools or websites, and we are not responsible for their content, accuracy, or privacy practices.

Access to optional third-party tools is provided "as is" and "as available" without warranties of any kind. Use of these tools is at your own risk, and you should review the third-party provider's terms and policies before use. We shall have no liability arising from your use of third-party tools or your interactions with third-party websites.

Section 9 — Relationship with Shopify

It's My Leche is powered by Shopify, which enables us to deliver the Services. However, all sales and purchases are made directly with It's My Leche, Inc. Shopify is not a party to your purchase transactions and is not responsible for any aspect of your interactions with us, including injury, damage, or loss related to products. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from your purchases or use of the Services.

Section 10 — Donor Platform and HIPAA Compliance

The Milkdrop donor platform collects and processes sensitive personal and health information from donors, including health screening data, blood work results, and medical history. This information is considered Protected Health Information ("PHI") under the Health Insurance Portability and Accountability Act ("HIPAA") and applicable regulations.

It's My Leche, Inc. is committed to protecting donor PHI in accordance with HIPAA requirements. We implement administrative, physical, and technical safeguards to protect the confidentiality, integrity, and availability of donor health information. Donor health data is:

• Collected only for the purposes of donor screening, qualification, and program management
• Accessed only by authorized personnel on a need-to-know basis
• Not shared with third parties except as required for screening services, as permitted by law, or with your explicit authorization
• Retained in accordance with applicable legal requirements

Donors have rights with respect to their PHI under HIPAA, including the right to access, amend, and request an accounting of disclosures of their health information. To exercise these rights or to submit a privacy complaint, contact us at support@itsmyleche.com.

Donor compensation, eligibility, and program terms are governed by the Milkdrop Donor Agreement, which donors execute as part of the application process. The Milkdrop Donor Agreement is incorporated herein by reference.

Section 11 — Insider Rewards Program

The Leche Insider Rewards Program allows eligible customers to earn points on qualifying purchases and other activities, which may be redeemed for discounts on future purchases. By enrolling in the Insider Program, you agree to the following:

• Points are non-transferable and are associated with the account under which they were earned
• We reserve the right to modify, suspend, or discontinue the Insider Program at any time, with or without notice
• Points may expire after a period of account inactivity as specified in the Insider Program terms
• We reserve the right to adjust, revoke, or forfeit points in cases of suspected abuse, fraud, or violation of these Terms

Section 12 — Feedback and User Content

If you submit ideas, suggestions, feedback, reviews, or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display that Feedback in any medium for any purpose, including commercial use.

You represent that: (i) you own or have all necessary rights to the Feedback; (ii) you have disclosed any compensation or incentives received; and (iii) the Feedback does not violate any third-party rights or these Terms. We are not obligated to maintain Feedback in confidence, compensate you for it, or respond to it.

We may monitor, edit, or remove Feedback that we determine to be unlawful, offensive, inaccurate, or that violates any party's rights or these Terms.

Section 13 — Errors, Inaccuracies, and Omissions

Information in the Services may occasionally contain errors, inaccuracies, or omissions related to product descriptions, pricing, promotions, shipping, or availability. We reserve the right to correct any such errors and to update information at any time without prior notice, including after order submission.

Section 14 — Prohibited Uses

You may access the Services for lawful purposes only. The following are prohibited:

• Using the Services for any unlawful, harmful, or fraudulent purpose
• Violating any applicable federal, state, local, or international law or regulation
• Infringing the intellectual property rights of It's My Leche or any third party
• Transmitting false, misleading, or deceptive information
• Harassing, abusing, threatening, or intimidating any person
• Sending unsolicited commercial communications (spam)
• Impersonating any person or entity or misrepresenting your affiliation with any person or entity
• Interfering with or disrupting the integrity, security, or operation of the Services
• Using automated tools, bots, or scrapers to access or collect data from the Services without our written consent
• Reselling, redistributing, or commercially exploiting any part of the Services without authorization

Section 15 — Medical Disclaimer

The content on the Services, including product descriptions, blog posts, and educational resources, is provided for general informational purposes only and does not constitute medical advice. It's My Leche products are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

Always consult a qualified healthcare provider or pediatrician before making decisions about infant nutrition, introducing new products to your infant, or changing your baby's feeding regimen. Individual results may vary. It's My Leche, Inc. is not responsible for any adverse outcomes resulting from failure to consult a healthcare professional.

Section 16 — Disclaimer of Warranties

THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

Section 17 — Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IT'S MY LECHE, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE — ARISING FROM YOUR USE OF THE SERVICES, YOUR PURCHASE OR USE OF PRODUCTS, OR YOUR PARTICIPATION IN THE DONOR OR REWARDS PROGRAMS. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) OR SERVICE(S) GIVING RISE TO THE CLAIM.

This limitation of liability applies regardless of the legal theory of the claim and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability; in such cases, our liability will be limited to the fullest extent permitted by applicable law.

Section 18 — Indemnification

You agree to indemnify, defend, and hold harmless It's My Leche, Inc., its officers, directors, employees, agents, licensors, and Shopify from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any content you submit through the Services.

Section 19 — Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of such courts.

Before initiating formal legal proceedings, we encourage you to contact us at support@itsmyleche.com to resolve disputes informally. Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction.

Section 20 — Privacy Policy

All personal information collected through the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge that you have read and agree to our Privacy Policy. Our Privacy Policy is available at itsmyleche.com/policies/privacy-policy.

Information submitted to the Services may be shared with Shopify, Recharge, and other service providers as needed to deliver the Services. See our Privacy Policy for full details.

Section 21 — Changes to Terms

We reserve the right to update or modify these Terms at any time at our sole discretion. Changes take effect when posted on the Services. We will make reasonable efforts to notify you of material changes — such as by email or a prominent notice on our website.
